Board of Directors

TPO Cambodia's Board of Directors was formed in October 2002 and is responsible for the governance of TPO. The Board of Directors meet every three months to discuss and review key projects, priorities, financial performance and funding matters. See below for further information.

1/3 of the Board of Directors serves for 4 years, 1/3 serves for 3 years and another 1/3 serves for 2 years.

Role and responsibility of the Board of Directors

Members of the Board are responsible for monitoring the overall performance of the organisation by:

• Ensuring that TPO meets all its legal/statutory responsibilities.
• Ensuring that financial and other decisions are being made properly and there is transparency in applying resources exclusively in pursuance of the aims and objectives of TPO (in accordance with TPO's Financial Regulations).
 
• Approving Auditors
• Ensuring that all premises used by TPO are properly managed and used and there is a safe environment for staff and visitors.
 
• Managing the Managing Director of the Organisation by:
  - Drawing up the Contract and Job Description for this post and ensuring each is regularly reviewed.
  - Clarifying the relationship between the Governing Body and Director and what level of responsibility and authority the Managing Director has.
 
• Ensuring that the Chairperson of the Governing Body manages the Managing Director and there are annual appraisals of his/her work.
 
• Ensuring that the Chairperson and Managing Director meet regularly outside of meetings of the Governing Body to share information and deal with any major problems, which may arise.
Recruiting (or dismissing) the Managing Director if necessary and ensuring that there are adequate arrangements for the effective and efficient management and administration of TPO if the post is vacant.
